Abstract

The Board of Directors (BOD) serves as the highest governing body responsible for setting strategic directions, monitoring management, and ensuring accountability, transparency, and ethical conduct within an organization. As the central mechanism of corporate governance, an effective BOD safeguards shareholder interests and protects stakeholders by overseeing risk management, compliance, and accurate information reporting. Furthermore, overall board effectiveness and sustainable governance outcomes are heavily influenced by key structural factors, including board composition, quality, optimal size, and diversity in skills, background, and gender.
